Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website and human answering services offered by Stardehl, Inc. (“Stardehl,” “we,” “us”). By using our Services or creating an account, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Stardehl provides professional answering and message-handling services according to the plan you select and any written ordering documentation or onboarding materials we agree to with you. Features, coverage hours, and limits (such as included call volume) are described on our website or in your order and may change with notice as described below.

2. Customer responsibilities

You are responsible for the accuracy of information you provide for scripts and routing; compliance with laws applicable to your business and industry; securing credentials for your account; and lawful use of the Services. You grant us permission to answer calls and transmit messages on your behalf as instructed in your onboarding and account settings.

3. Fees and payment

Fees are based on the plan or custom arrangement you select. Unless otherwise stated, fees are billed in advance on a recurring basis. Late or failed payments may result in suspension or termination of the Services. Taxes may apply where required by law.

4. Trials and cancellation

We may offer a free trial as described at signup. You may cancel according to the terms presented when you subscribe or as set forth in your order. Upon cancellation, access to the Services ends as specified in your plan; provisions that by nature should survive (including Sections 5–9) will survive.

5. Disclaimer of warranties

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE OR THAT ALL CALLS WILL MEET YOUR BUSINESS OUTCOMES.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARDEHL AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STARDEHL FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

7. Indemnity

You will defend and indemnify Stardehl and its officers, directors, and employees against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your use of the Services, your content or instructions, or your violation of these Terms or applicable law.

8. Privacy and HIPAA

Our collection and use of personal information is described in our Privacy Policy. If you are a covered entity or business associate under HIPAA and we handle PHI on your behalf, a Business Associate Agreement (“BAA”) may be required before PHI is used or disclosed through the Services; see HIPAA Compliance.

9. Governing law; disputes

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. You agree that courts in Texas have exclusive jurisdiction for disputes arising from these Terms or the Services, except where consumer protection law requires otherwise.

10. Changes

We may modify these Terms by posting an updated version on this page. Material changes may be communicated by email or notice within the Services where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.
